Sweepstakes Name: *The Wholly Guac Bucks Dip ‘n Win Sweepstakes (the “Sweepstakes”). The Sweepstakes consists of a Monthly Sweepstakes and a Grand Prize Sweepstakes.
Sweepstakes Dates: *Sweepstakes registration is scheduled to begin at 12:00:01 am Eastern Time (“ET”) on 9/26/08 and is scheduled to end at 11:59:59 pm ET on 3/15/09, or when ‘PIN Code’ supplies run out, whichever is earlier (the “Registration Period”). *The Sweepstakes will be divided into six (6) monthly entry periods indicated in the chart below (each, a “Monthly Entry Period”). PIN codes will be distributed in specially marked packages of Wholly Guacamole products, or free PIN codes may be requested by mail (see below) during the Registration Period. *Monthly drawings to select finalists to participate in the Grand Prize Sweepstakes (each, a Monthly Grand Prize Finalist Drawing”) and Monthly Sweepstakes prize winners (each, a “Monthly Prize Drawing”) will be conducted on or about
: 11/3/08; 12/1/08; 1/2/09; 2/2/09; 3/2/09; and 4/1/09. *The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void in Alaska & Hawaii and where prohibited.
Who may Enter: *Sweepstakes is open to legal residents of the Continental United States, who are age 18 or older as of date of entry, and have a valid U.S. driver’s license or government issued photo identification, except the following persons who are not eligible to enter or win:
(a)Employees, officers, and directors of Fresherized Foods (“Sponsor”), its dealers, franchisees, parents, affiliated companies, subsidiaries, distributors, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of this promotion (collectively, “Released Parties”), and the members of the immediate families or households, whether or not related, of any of the above. “Immediate family members” includes, for purposes of this promotion, parents (including in-laws), grandparents, siblings (including step-siblings), children (including step-children), grand children (including step grand children) and each of their respective spouses, regardless of where they reside.
(b)Individuals who do not have current access to an internet connection in order to visit the contest website, or a valid email address to register.

1.Specially Marked Wholly Guacamole Packages: *Purchase any specially marked packages of Wholly Guacamole during the Registration Period available in retail locations that carry Wholly Guacamole products. *Product availability may be limited, and available on specially marked packages while supplies last. *Each specially marked container of Wholly Guacamole will contain one valid PIN code printed on the inside of its outer cardboard packaging. *Last date to purchase specially marked containers of Wholly Guacamole products to receive valid PIN Codes is 3/15/09, or when supplies of specially marked packages are exhausted, whichever comes first. *Look for specially marked packages of the following products:

Box 278, Woodbridge, NJ *07095. *(If you do not have a telephone, indicate “No Phone”.) *Free PIN code requests must be postmarked by 3/15/09, and received by 3/22/09, and will be honored while supplies last. *Vermont residents may omit return postage. *Limit of one mail-in PIN Code request per person per day. *Each mail-in PIN Code will be valid for 175 Guac Bucks. *Each request must be mailed separately, and must be original and handwritten. *Limit of one (1) request per stamped outer mailing envelope. *No mechanically reproduced, computer generated or photocopied PIN Code requests permitted. PIN Codes that are fraudulent, tampered with, or obtained outside authorized and legitimate channels as outlined above will be void and ineligible for any prize redemption.

www.WhollyGuacBucks.com prior to 11:59 pm ET on 3/31/09, and fully complete the on-line registration page with all required information, including your complete name, address (including City, State and Zip), valid email address, birth date, and phone number (including area code). *Each participant will designate a ‘username’ and password. *Each participant’s username & password will be used by participants to return to the Sweepstakes site to Log-in, redeem PIN Codes to earn ‘Guac Bucks’ in their on-line account, and redeem the accumulated Guac Bucks in their on-line account to enter the various Sweepstakes prize drawings.

In the event of a dispute as to any entry/registration, the authorized account holder of the e-mail address used to register will be deemed to be the registrant and he/she must be eligible according to these Official Rules. Enter the $100,000 Grand Prize Sweepstakes – Guess the Secret 4-digit Code to win the Wholly Guacamole $100,000 Bill: Each participant will receive one bonus entry into the $100,000 Grand Prize Sweepstakes for initially completing the on-line registration and entering their first valid PIN Code at
www.WhollyGuacBucks.com, regardless of their ‘Guac Bucks’ account balance. *Participants may then receive additional entries into the $100,000 Grand Prize Sweepstakes by redeeming (50) Guac Bucks per entry from their on-line account, provided they have sufficient ‘Guac Buck’ credits in their account. *Participants will receive one additional entry into that current month’s drawing for each (50) Guac Bucks redeemed. *Participants will be required to submit a 4-digit number guess for each entry submitted into the $100,000 Grand Prize Sweepstakes – attempting to guess the winning 4-digit ‘Secret Code’ on the Wholly Guacamole $100,000 Bill in its exact order. *Each number in the 4-digit sequence shall fall between 0 – 9, and numbers may be repeated within the sequence (IE – a valid number guess could be 1111 or 1234). *Enter as often as you wish, provided you have the minimum number of available Guac Bucks (50) in your on-line account for each entry submitted.

Enter Monthly Prize Drawings: *Each month, a total of twenty (20) different prizes will be available to be awarded through the Monthly Prize Drawing. *In order to receive one (1) entry into a Monthly Prize Drawing for any of the available prizes, participants must redeem ten (10) Guac Bucks from their on-line account balance (provided they have sufficient credits in the account) to enter for that selected prize per the on-line instructions at
www.WhollyGuacBucks.com. *Participants may enter the applicable Monthly Prize Drawing for any available monthly prizes as often as they wish, provided they have a sufficient balance of available Guac Bucks in their on-line account for each entry submitted. *Participants may submit multiple entries for the same prize, or submit entries for any or all of the prizes available in the applicable Monthly Prize Drawing. Finalist Selection & Odds of Winning – Grand Prize Contest: *On or about each scheduled Monthly Grand Prize Finalist Drawing date (see above), a random drawing will be held from among all eligible entries received for that month’s Grand Prize Sweepstakes to select a total of (5) potential finalists to participate in the applicable Grand Prize Sweepstakes (see contest description below). *Maximum of one finalist per household. *Odds of being selected as a finalist are dependent upon the total number of eligible entries received for the applicable Monthly Grand Prize Finalist Drawing. *Odds of winning the grand prize once selected as a monthly finalist are 1:10,000, based upon correctly guessing the winning 4-digit ‘Secret Code’. *Only the (5) selected finalist entries, and the corresponding 4-digit number guesses submitted on the selected entries, shall be eligible to participate in the applicable Grand Prize Sweepstakes (see below). *All other entries shall be disqualified, and are ineligible to participate, claim or win any prize – regardless of the accuracy of their 4-digit number guess. *Note: *If any selected finalist has submitted multiple entries into any Grand Prize Sweepstakes, then only the entry and corresponding 4-digit number guess on that entry, as selected by administrators shall be eligible for the applicable Grand Prize Sweepstakes. *Decisions of the administrator in the selection and determination of finalists, their corresponding submitted 4-digit number guess entries and, all matters relating to this Sweepstakes are final and binding. *
Grand Prize Sweepstakes (Guess the 4-digit ‘Secret Code’ on the Wholly Guacamole $100,000 Bill): *Following the random selection of each of the (5) grand prize finalists for the applicable Monthly Grand Prize Finalist Drawing, Sponsor shall conduct a random drawing to determine the actual winning 4-digit ’Secret Code’ on the Wholly Guacamole $100,000 Bill for that month’s Grand Prize Sweepstakes. *A total of (4) individual opaque and covered containers shall be set-up, and each container shall contain a numbered ping pong ball (or other item), that has been numbered from 0 to 9. *A designated administrator will then randomly select one ball from each container, and record the corresponding number in the order in which it is selected as the winning 4-digit Secret Code for that month’s Grand Prize Sweepstakes. *The winning 4-digit Secret Code will be recorded on the displayed oversized image of the Wholly Guacamole $100,000 Bill in the exact order each number is selected. *One ball and its corresponding number will be selected from each container to randomly determine the grand prize winning 4-digit number in its exact order for that month’s Grand Prize Sweepstakes. *The random drawing of the grand prize winning 4-digit number shall be recorded on video tape for each contest attempt, and shall be made available for viewing via an internet link or video service (i.e. YouTube). *Following the selection of the winning 4-digit number, the winning number shall then be compared to each of the (5) selected finalists’ submitted number guess entries for that month’s Grand Prize Sweepstakes. *If any of the (5) selected finalists have submitted a 4-digit number guess on their selected entry that is an exact match in order to the grand prize winning 4-digit number that was randomly selected for that month’s Grand Prize Sweepstakes, that corresponding finalist will be eligible to claim the grand prize, subject to verification of eligibility and compliance with these Official Rules. *
Important – Maximum of One Entry & Corresponding 4-digit Number Guess per Selected Finalist: *Only the one (1) associated 4-digit number submitted on a randomly selected grand prize finalist entry is eligible to participate in the grand prize Sweepstakes. *Any additional number entries submitted by a selected grand prize finalist shall be void and are not eligible for comparison to the grand prize winning number. *For example if a finalist has submitted a total of 5 entries with number guess submissions of 1111, 2222, 3333, 4444, 5555 and the selected finalist entry for the grand prize contest has an associated number submission of 1111 – then each of the remaining (4) entries are void, regardless of their accuracy in comparison to the grand prize winning number. *If the grand prize winning 4-digit ‘Secret Code’ for the contest attempt was 5555, the finalist will not be eligible to claim the grand prize as that submission was not selected as an eligible grand prize contest entry.)
In the event of a grand prize winning occurrence, the corresponding finalist will be notified initially by phone. *During the winner notification phone call, the potential grand prize finalist must confirm his/her eligibility, and indicate his/her willingness to accept the grand prize. *Any eligible winning finalist will then receive official grand prize notification via certified or overnight mail delivery. *If the administrator is unsuccessful in its attempts to reach and speak directly with a potential grand prize winning finalist by phone after three attempts over a 7-day period to the phone number listed on that finalist’s entry, then Sponsor may elect to attempt to contact the potential grand prize winner by email and/or certified mail. *If the potential grand prize winner fails to respond or claim the grand prize within 14 days from date of issuance of written notification, that finalist may be disqualified and forfeit the grand prize award. *If any potential grand prize winner does not meet the eligibility requirements, or elects to decline the finalist prize, s/he will be disqualified. *Any disqualified participant will not receive any alternate prize substitution or compensation. *In the event the prize is forfeited, the prize will remain the property of Sponsor and will not be re-awarded, except as provided herein.
Monthly Prize Award Winner Selection/Notification & Odds of Winning: *On or about each scheduled Monthly Prize Drawing date (see above), a random drawing will be held from among all eligible entries received for each monthly prize to select one *(1) potential winner per available prize for the applicable Monthly Prize Drawing. *Maximum of one winner per household per Monthly Prize Drawing. *Odds of being selected as a monthly prize winner are dependent upon the total number of eligible entries received for each scheduled prize award in the applicable Monthly Drawing. *Decisions of the administrator in the selection and determination of monthly prize winners and, all matters relating to this Sweepstakes are final and binding. *
Each potential monthly prize winner may be notified by phone or email at Sponsor’s sole selection. *If the administrator is unsuccessful in its attempts to reach and speak directly with a potential monthly prize winner, after 3 attempts over a 7-day period, then that monthly prize winner may be disqualified and, at Sponsor’s sole discretion, an alternate winner may be randomly selected from among the remaining eligible entries for that corresponding prize and notified as per the procedures outlined above (time permitting). *
During the monthly prize winner notification phone call, potential winners must confirm their eligibility, and indicate their willingness to accept the prize. *If any selected monthly prize winner does not meet the eligibility requirements, or elects to decline the prize, s/he will be disqualified and, at Sponsor’s discretion and time permitting, an alternate finalist will be randomly selected from among all remaining eligible entries and notified as per the procedures outlined above. *Any disqualified winner will not receive any alternate prize substitution or compensation.

Each additional monthly prize availability (month 3 – 6) will be as listed on the Sweepstakes website each month. *Maximum total ARV of all monthly prize awards shall not exceed $3,500 per month. *Each monthly prize winner will be shipped their corresponding prize to the address listed on the entry. *Please allow 8 – 12 weeks for prize delivery following monthly prize winner notification (see above). *
Grand Prize: *In the event of a successful 4-digit number guess by an eligible selected finalist, that finalist shall be eligible to claim the grand prize, subject to approval by Sponsor, proof of eligibility and verification of compliance with these Official Rules. *The Grand Prize is: *$100,000 cash (awarded as a check in the name of the winner).
In the event of an eligible grand prize winning attempt, the corresponding grand prize winner will receive a check in the amount of $100,000 within approximately 6 – 8 weeks from completion and return of required prize claim forms. *Maximum of one (1) grand prize award for the Monthly Grand Prize Finalist Drawing. *In the event of multiple winning 4-digit number guesses submitted by any selected finalists for any Grand Prize Finalist Drawing, the grand prize value will be evenly split among all eligible grand prize winning finalists. *In the event there is no grand prize winning 4-digit number guess submitted by a selected finalist during any Grand Prize Sweepstakes, the grand prize will not be awarded.
General Prize Conditions: All of the following will apply for any potential winner(s) of any prizes in excess of $600 in value: 1) Potential winners will be required to complete and return, within five (5) days of date of receipt, a prize acceptance form, a W-9 form, an affidavit of eligibility, and a liability/publicity release (where permitted); 2) Each potential winner will be required to present a copy of a valid social security card and a valid driver’s license or government issued photo identification as a condition of participating or receiving any prize; *3) Each potential winner will be issued an IRS Form 1099 reflecting the actual value of the prize won; and 4) Each potential winner will be responsible for paying all applicable taxes (including, but not limited to all local, state and federal taxes) on all prizes awarded. *Failure to execute and return all required documents within the specified time period (if applicable), Sponsor’s inability to contact a potential winner within a reasonable time period or the return of a prize or prize notification as undeliverable or failure to collect or properly claim any prize in accordance with these Official Rules will result in forfeiture of the prize. *If forfeited for any reason, such winner will not receive any other prize substitution or compensation, and the prize will remain the property of Sponsor and will not be awarded, except as provided herein. *If any winner is at least 18 years of age but still considered a minor in his/her jurisdiction of residence, Sponsor may, at its sole discretion, award prize in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on winners set forth herein. *Gift cards are subject to certain terms and conditions as specified by issuer. All other costs and expenses related to prize acceptance and use not specified herein as being provided are the sole responsibility of winners. *All federal, state and local taxes are each winner’s sole responsibility. *All prize awards are awarded ‘as is’ without any guarantee or warranty, either express or implied by Sponsor and are non-transferable and no cash redemption (for non-cash prizes) or prize substitution allowed, except at Sponsor’s sole discretion or as provided herein. *Sponsor reserves the right to substitute a prize of comparable or greater value, at its sole discretion. *ARV of all available prizes not to exceed: *$121,000. Additional Rules & Restrictions: *By participating in this Sweepstakes, participants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor and administrator, which shall be final and binding in all matters relating to this Sweepstakes. *In the event a participant wins a prize, and is later found to be in violation of these Official Rules, he/she will be required to forfeit the prize or to reimburse Sponsor for the stated value of the prize if such violation is discovered after winner has used the prize. By participating, participants agree to hold all Released Parties harmless from any claims, losses, actions, or damages of any kind, whether actual, incidental or consequential, for injury (including but not limited to death), damages, losses or expenses arising out of or relating to participant’s participation in this Sweepstakes, or the acceptance, possession or use/misuse of any prize, or participation in prize-related activities, and to assume all liability therefor. *
Released Parties shall not be liable to winner or any other person for failure to supply the prize or any part thereof by reason of any acts of God, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause. *
Participants are restricted to use of ordinary and typical computer equipment and Internet access. Sponsor disclaims all liability for the inability of a participant to complete or continue an entry due to equipment malfunction, busy lines, inadvertent disconnections, or otherwise. The Sponsor disclaims any liability for received entries due to technical difficulties or transmission errors. The Sponsor disclaims all liability for any delays, mis-delivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method. *Released Parties are not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network, server, cable, satellite, Internet Service Provider (ISP), telephone or other connections which may limit an participant's ability to participate in the Sweepstakes, and any injury or damage to participant’s or any other person’s computer related to or resulting from participating in or downloading any information necessary to participate in the Sweepstakes. *Released Parties are not responsible for any other errors of any kind, whether computer, technical, typographical, printing, human or otherwise, relating to or in connection with the Sweepstakes, including, without limitations, errors which may occur in connection with the printing or advertising of this Sweepstakes, administration or execution of the Sweepstakes, the processing of entries or in the announcement of the finalists, prizes or prize winners. *
Sponsor reserves the right to cancel, modify or terminate the Sweepstakes if fraud, misconduct or technical failures destroy or threaten the integrity of this portion of the Sweepstakes in the opinion of the Sponsor/administrator, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper conduct of the Sweepstakes (or portion thereof) as determined by Sponsor/administrator, in their sole discretion. In the event of early termination of the Sweepstakes, Sponsor reserves the right to determine the finalists and/or potential winner(s) for the drawing(s) at issue in a random drawing from among all eligible, non-suspect entries received for the applicable drawing(s) as of the time/date of such termination.
IN CASE OF DISPUTES: *By participating, each participant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of Texas; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, and in no event will participant be entitled to received attorneys' fees or other legal costs; and (3) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Texas or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Texas.
