BAI Mystery Shopper Agreement and Application
This agreement will govern the relationship between you, an independent contractor, herein referred to as a 'Evaluator', and Bare Associates International Inc., a Virginia company, and Bare Associates International bvba, a BELGIUM company, herein referred to as 'BAI'.
BAI is engaged in the business of providing customer insight programs to it's clients, by means of, but not limited to, mystery shopper reports and audits, using varying methods such as on site visits, telecommunication, web-based and intercept interviews.
Said resulting reports are provided to our clients for the purpose of determining operational success's and opportunities in such areas as service, sales, product presentation, facility maintenance, and other specifics of the clients operations and personnel.
Evaluator agrees to the following terms and conditions in accepting assignments from BAI:
RELATIONSHIP: Evaluator understands that they operate as an independent contractor. Evaluator is responsible for her/his own liability and workman's compensation and as applicable automotive insurance, and holds BAI and its affiliates harmless while working as an independent contractor. There is NO employer - employee relationship. Any federal, state, country and other applicable taxes WILL NOT be withheld from payments or reimbursements distributed by BAI. In the US only, a 1099 will be issued to facilitate appropriate reporting of income received for services performed for fees paid exceeding $600 in any calendar year.
ASSIGNMENTS: Assignments are scheduled by varying means on an as needed, rotating basis. Evaluator may choose to accept or reject any proposed assignment. You agree and understand we have the option and choice to ask for your services as an independent contractor in performing said services, or not. You, in turn, have the right to accept or not to accept any assignment posted.
COMPENSATION: USA Fees for services performed and reimbursement for allowable expenses will be distributed by computer-generated check on the 16th of the month following the month in which assignments were properly completed and received according to guidelines. Adjustments in compensation may occur in the form of penalties as a result of late, incomplete, or inaccurate reports or if instructional guidelines are not met. It is mutually understood that upon discontinuation from the position of evaluator, that any and all materials BAI provided will be returned upon demand. Any compensation due and payable to evaluator may be withheld until all said material is received. EUROPE Fees for services performed and reimbursement for allowable expenses will be paid through bank transfer (or wire or Paypal, at our option) on the 20th of the month following the month in which assignments were properly completed and received according to guidelines. Adjustments in compensation may occur in the form of penalties as a result of late, incomplete, or inaccurate reports or if instructional guidelines are not met. It is mutually understood that upon discontinuation from the position of evaluator, that any and all materials BAI provided will be returned upon demand. I, the EVALUATOR, hereby PROMISE to:
(1) Never disclose the names and/or locations of BAI clients; (2) Keep confidential all findings regarding BAI or BAI client's, either verbally or in writing. Reports are for the EXCLUSIVE use and knowledge of BAI clients. I, the evaluator, acknowledge that disclosure to third parties without BAI's explicit and prior written consent may warrant legal action; (3) NEVER directly contact a BAI client at any level including unit management or personnel regarding the assignment; results of said assignments; or for ANY reason related to my services and relationship with BAI. (4) Never to use any BAI materials for purposes other than the mutually agreed-upon assignment. All forms & training material are copyright protected and remain the exclusive property of BAI and/or its clients; (5) For a term of one year after discontinuation of services to our firm, I agree NOT to enter the service evaluation business, either directly or indirectly, excepting for the activity of providing services to other established companies as an independent contractor (shopper), as long as all above stated conditions are met. The laws of the Commonwealth of Virginia as well as the country of your domicile regulate this agreement.
I DO UNDERSTAND AND AGREE TO COMPLETE, TRANSMIT AND ACCEPT FOLLOW-UP REQUESTS FOR REPORTS and RECEIPTS ON ACCEPTED ASSIGNMENTS IN A PROFESSIONAL MANNER. IN COMPLETING THE ON-LINE APPLICATION TO BECOME AN EVALUATOR FOR BAI, I AGREE TO ALL TERMS AND CONDITIONS SPECIFIED ABOVE.
